Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and SpendSenseAI ("SpendSenseAI", "we", "us", or "our") that governs your access to and use of our websites, applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent that you have the authority to enter into these Terms and that all registration information you submit is accurate and complete.

2. Account Registration and Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must promptly notify us of any unauthorized use or suspected breach of security.

3. Subscriptions, Trials, and Billing

Certain features of the Services may require a paid subscription. If you enroll in a paid plan or a free trial that converts to a paid plan, you authorize us and our third‑party payment processors to charge your payment method according to the plan terms. Unless otherwise stated, subscriptions automatically renew until canceled. You can cancel at any time to prevent future charges, but fees already paid are non‑refundable except where required by law.

4. Acceptable Use

You agree not to, and not to allow third parties to:

• Use the Services for any unlawful, harmful, or fraudulent activity.
• Reverse engineer, decompile, or attempt to derive source code from the Services.
• Interfere with or disrupt the integrity or performance of the Services.
• Upload, post, or transmit content that infringes intellectual property or privacy rights.
• Access the Services to build a competing product or service.

5. AI‑Generated Insights and Accuracy

SpendSenseAI may provide automated or AI‑assisted insights. Such outputs are provided for informational purposes only and do not constitute financial, legal, tax, or investment advice. You remain solely responsible for your decisions and for verifying the accuracy of any outputs.

6. Your Content

You retain ownership of content you submit to the Services ("User Content"). You grant SpendSenseAI a worldwide, non‑exclusive, royalty‑free license to host, store, process, transmit, and display User Content solely as necessary to operate, improve, and provide the Services. You represent that you have all rights necessary to submit User Content and that it does not violate these Terms or applicable laws.

7. Intellectual Property

The Services, including all software, designs, text, graphics, and logos, are owned by or licensed to SpendSenseAI and are protected by intellectual property laws. Except for the limited rights expressly granted herein, no rights are transferred to you. All rights not expressly granted are reserved by SpendSenseAI and its licensors.

8. Third‑Party Services

The Services may integrate with third‑party products or contain links to third‑party websites. Your use of third‑party services is governed by their terms and privacy policies. We are not responsible for third‑party services and disclaim any liability arising from your use of them.

9. Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Services, you consent to such processing consistent with applicable law.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPENDSENSEAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE OR UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SPENDSENSEAI OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will indemnify and hold harmless SpendSenseAI and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Services or violation of these Terms.

13. Suspension and Termination

We may suspend or terminate your access to the Services at any time for any reason, including for violation of these Terms or to protect the Services, users, or third parties. Upon termination, your right to use the Services will cease, but certain provisions will survive as noted below.

14. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes will be resolved in the state or federal courts located in San Francisco County, California, unless otherwise required by applicable law. You and SpendSenseAI consent to the personal jurisdiction of such courts.

15. Changes to the Services or Terms

We may modify the Services and these Terms from time to time. We will post the updated Terms with a new effective date. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

16. Miscellaneous

• These Terms constitute the entire agreement between you and SpendSenseAI.
• If any provision is found unenforceable, the remaining provisions will remain in full force.
• You may not assign these Terms without our prior written consent.
